By accessing and using the Employee Navigator website, mobile application, web application(s) or other software, services, content or data provided by Employee Navigator or a third party on or through any of the foregoing, technical and user documentation describing the use and operation of the foregoing, any services provided by Employee Navigator or its affiliates related to the foregoing, any output of or from the foregoing, and any servers or other technology that we have procured to support the same (collectively, “Employee Navigator Solutions”)you indicate your acknowledgment and agreement to be bound by these Terms of Use (“Terms”) between you and Employee Navigator LLC, a Delaware limited liability company, with offices located at 7700 Wisconsin Avenue, Suite 900, Bethesda, Maryland 20814,  and any subsequently posted modifications to these Terms. References to Employee Navigator, “we”, “us” or “our” refer to Employee Navigator LLC and its affiliates.

These Terms  apply to your use of the Employee Navigator Solutions. These Terms are subject to the separately posted Privacy Policy and Copyright & Legal Notices. In the event of any inconsistency between these Terms and the Copyright & Legal Notices, the Copyright & Legal Notices will control. If you have entered into the Employee Navigator Master Terms and Conditions or Partner Program Agreement, then in the event of a direct conflict between specific provisions of these Terms and specific provisions of such Master Terms and Conditions or Partner Program Agreement, the specific provision of the Master Terms and Conditions or Partner Program Agreement, as applicable, will control.

“Users” include you, and anyone else who accesses or uses the Employee Navigator Solutions, whether an Authorized User or otherwise.

I. Authorized Users Defined. There are four levels of Authorized Users, each with different degrees of access to the Employee Navigator Solutions. The names and basic descriptions of these Authorized Users are:

A. Broker. A “Broker” includes only those benefits industry specialists (such as brokers, agents, general agents, or TPAs) who have been authorized by Employee Navigator to receive a Broker-level account for use of the Employee Navigator Solutions pursuant to a separate license or subscription agreement with Employee Navigator. Brokers are generally in the business of selling products (such as group health, dental, life, or disability insurance) to an employer. Broker accounts must be obtained directly from Employee Navigator.

B. Administrator. An “Administrator” includes only those organizations (or Individuals inside such organizations) that have been authorized by Employee Navigator (e.g., carriers, payroll providers or employers) or a Broker (e.g., employers) to receive an Administrator-level account for use of the Employee Navigator Solutions. Administrator privileges generally include the capacity to create and manage accounts for Individual Authorized Users who are the Administrator’s employees or members. Administrator accounts may be obtained from any Broker (or in certain circumstances from Employee Navigator) with participation costs determined by each Broker or Employee Navigator, as applicable.

C. Individuals. An “Individual” includes only those persons who have been authorized by Employee Navigator, a Broker, or an Administrator to receive an Individual-level account for use of the Employee Navigator Solutions. These Individuals are generally employees of an Administrator or Broker. Contact your employer to determine if the Employee Navigator Solutions are available through your company.

D. Guest. A Guest is a person who has requested and received temporary access to an account supplied by Employee Navigator, for example, to enable the Guest to evaluate the Employee Navigator Solutions.

II. Access Requirements. Access to the web and mobile applications requires: an account; access to a computer with a connection to the internet and the capacity to render web pages; and, in the case of mobile applications, a mobile device connected to the internet with an account on Apple’s App Store and/or the Google Play store. Authorized Users are solely responsible for providing all equipment and software necessary to access and use the Employee Navigator Solutions.  Authorized Users are responsible for all mobile carrier data or text message charges resulting from use of the Employee Navigator Solutions, including from any notifications provided by the Employee Navigator Solutions. In order to use text message based services, if applicable, you must maintain an active account with a carrier of electronic communications through mobile devices and you may not use a prepaid cellular phone to access such text message services. Employee Navigator does not guarantee that the Employee Navigator Solutions will be compatible with all devices or will be supported by all mobile carriers. You may be required to have JavaScript (or similar technologies) enabled to use the Employee Navigator Solutions, and some features and portions of the Employee Navigator Solutions may not be accessible with JavaScript disabled.

III. Authorized User Access.

A. Authorized Users will receive a limited, non-exclusive, non-transferable, revocable, license to access the Employee Navigator Solutions’ password-protected features on the internet using an assigned account (the “License”).

B. The level of access associated with the account (Broker, Administrator, Individual, or Guest) will determine features of the Employee Navigator Solutions to which that account will have access.

1. Individuals will have access to their own data and any other functions granted by their Broker or Administrator. As an Individual user, you understand and agree that your Broker and/or Administrator will typically have access to the same data that is visible to you.

2. Administrators will have the capacity to manage and create new accounts for Individuals who are the Administrator’s employees or members or otherwise enrolled in a group benefit plan sponsored by the Administrator and provide access to Individuals to Employee Navigator Solutions’ functionality for purposes authorized under applicable agreements with Employee Navigator. Absent the prior written permission of Employee Navigator, Administrators may not use their access to the Employee Navigator Solutions to create or manage accounts for any other person or purpose.

3. Brokers are permitted to manage and create new Administrator or Individual accounts to the extent that a subject Administrator or Individual’s accounts for Employee Navigator Solutions are indexed to that Broker and to provide access to Administrators and Individuals to Employee Navigator Solutions functionality for purposes authorized under applicable agreements with Employee Navigator. Absent the prior written permission of Employee Navigator, Brokers may not use their access to the Employee Navigator Solutions to create or manage accounts for any other person or purpose.

4. Guests will have only such access as Employee Navigator in its sole discretion deems appropriate. Guests will not have access to actual data of any other Authorized User.

C. This License may be revoked at any time. Temporary revocation may include deactivation or suspension of an account or lock down of the Authorized User’s Password; permanent revocation may include deletion of all data associated with the Authorized User. Reasons for revocation may include, among others:

1. An Administrator may revoke an Individual’s License for his violation of these Terms, violation of separately posted Copyright & Legal Notices, the Individual’s separation from the Administrator’s group benefit plans, or the Administrator’s discontinuance of company-wide use of Employee Navigator Solutions.

2. A Broker may revoke an Administrator’s License for violation of these Terms, violation of separately posted Copyright & Legal Notices (whether by Administrator or its employees), failure to pay any policy premiums when due, or the Administrator’s discontinuance of policies serviced by Broker.

3. Employee Navigator may revoke any Broker, Administrator, or Individual License for violation of these Terms, violation of the Privacy Policy or Copyright & Legal Notices, violation of a separate license, subscription or other applicable agreement providing access to the Employee Navigator Solutions, as applicable, for any reason that would justify a Broker’s revocation of another’s License, for any reason that would justify an Administrator’s revocation of another’s License, or for Broker’s or Administrator’s (as applicable) failure to pay any Employee Navigator invoice when due.

Administrators and Individuals adversely impacted by revocation of another’s License may inquire with Employee Navigator for placement with another Broker. Some interruption in service may occur during the transition to another Broker.

IV. User Representations, Warranties and Covenants.

Authorized Users make the following representations, warranties and covenants to Employee Navigator:

A. Use of the Employee Navigator Solutions shall be in a manner that is consistent with all federal, state, and local laws (including but not limited to laws concerning identity theft and privacy and security of healthcare related data).

B. Use of the Employee Navigator Solutions shall be in a manner that is consistent with these Terms, Privacy Policy and Copyright & Legal Notices.

C. Use of the Employee Navigator Solutions shall be in a manner that is consistent with all other applicable agreements with Employee Navigator.

D. Authorized Users shall provide true and complete information about their identity and shall not impersonate any other person or entity.

E. Authorized Users shall take appropriate precautions to maintain the secrecy of their login credentials, shall not share their login credentials or account with anyone else and shall protect access to their login credentials and account. For the avoidance of doubt, generic usernames (e.g. “Broker User”) or accounts designed to or that may be used by more than one person are expressly prohibited. You are solely responsible for all acts or omissions committed by or occurring under your account and all resulting liability.

F. When available, Authorized Users shall make use of multi-factor authentication, and will request relevant Brokers and/or Administrators to activate and implement multi-factor authentication. Any Broker and/or Administrator shall take all reasonable steps to activate and/or implement multifactor authentication for all of its Authorized Users. You are solely responsible for all liability resulting from your failure to implement multifactor authentication.

G. Except as expressly permitted in an agreement between you and Employee Navigator, you will not and you will not directly or indirectly cause any automated system, bot, spider, crawler, scraper, or artificial intelligence or machine learning system to access, copy, extract, scrape, mine, retrieve, index or otherwise use any content, information or data included in or delivered through the Employee Navigator Solutions for any purpose, including but not limited to training, developing, fine-tuning, evaluating, or improving any artificial intelligence or machine learning model, whether generative or non-generative or reproducing or circumventing the navigational structure or presentation of the Employee Navigator Solutions unless such technologies are provided directly from Employee Navigator for such purpose. This prohibition applies regardless of whether such use is characterized as text and data mining, web scraping, dataset compilation, or any other form of automated collection. You acknowledge and agree that any use of content, information or data included in or delivered through the Employee Navigator Solutions in violation of this provision is unauthorized and may constitute a breach of these Terms of Use, copyright infringement, and/or a violation of applicable computer fraud, trespass, or unfair competition laws.

H. Authorized Users shall not decompile, reverse engineer, disassemble, or unlawfully use or reproduce any of the software, source code, object code, proprietary formulations, trade secrets, copyrighted material, or other proprietary information contained in the Employee Navigator Solutions.

I. Authorized Users shall not interfere with, disrupt, penetrate, or otherwise hack into the Employee Navigator Solutions or the account of any other Authorized User. Authorized Users shall not transmit spam or any virus or other malicious computer code to or through the Employee Navigator Solutions.

J. You and/or your corporate body (if applicable) are not (i) located, established, registered and/or operating in any jurisdiction subject to sanctions or trade restrictions or (ii) on any restricted party list, in each case, administered, imposed, or promulgated by, or any national or supranational governmental authority, including (a) the United States Department of the Treasury, including the Office of Foreign Assets Control, the United States Department of State, and the United States Department of Commerce, including the Bureau of Industry and Security, (b) the United Kingdom’s Office of Financial Sanctions Implementation, (c) the European Union, or (d) the United Nations (collectively, “Sanctions Laws”) and, if applicable, your controllers, ultimate beneficial owners, executives, management (internal or external), directors, officers and employees are not citizens or residents of, or located in, any jurisdictions subject to or otherwise subject to Sanctions Laws.

V. Additional Requirements About Your Information and Aggregate Information.

“Your Information” is defined as any information you or your employer provides to the Employee Navigator Solutions or other Authorized Users, including in the registration, in any public message area, through any upload feature, through any API or other data transfer, or through any e-mail feature.

A. You are solely responsible for Your Information. You agree that: (i) Your Information shall not be false, inaccurate or misleading; (ii) Your Information shall not violate the rights of any third party, including without limitation privacy and proprietary rights; (iii) Your Information shall not infringe any copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy; (iv) Your Information shall not be fraudulent or involve counterfeit or stolen items; (v) Your Information shall not violate any law, statute, ordinance, or regulation (including without limitation those governing consumer protection, unfair competition, antidiscrimination, or false advertising); (vi) Your Information shall not be defamatory, libelous, threatening, harassing or offensive; (vii) Your Information shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, intercept or expropriate any system, data or personal information; and (viii) Your Information shall not create liability for Employee Navigator or cause us to lose (in whole or in part) the ability to provide our services.

B. Postings by an Authorized User on any message board or in any forum or chat room or e-mails sent to, from or through the Employee Navigator Solutions will not be protected as confidential. Employee Navigator may use and provide information contained in any such postings for any purpose whatsoever and as deemed appropriate by Employee Navigator. Employee Navigator is under no obligation to review any messages, information, or content posted on the Employee Navigator Solutions by Users and assumes no responsibility or liability relating to any such postings. Notwithstanding the above, Employee Navigator may from time to time monitor the postings on the Employee Navigator Solutions and may decline to accept and/or remove any postings that violate this Agreement.

C. You further agree not to use the Employee Navigator Solutions to send or post on message boards or any place on the Employee Navigator Solutions, any message, e-mail or material that is unlawful, harassing, libelous, defamatory, abusive, harmful, vulgar, obscene, profane, sexually oriented, threatening, racially offensive, inaccurate, or otherwise objectionable material of any kind or nature or that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law or regulation, including material which is an invasion of privacy or publicity rights or which is protected by copyright, trademark, or other proprietary right, or derivative works without first obtaining permission from the owner, or encourage the use of controlled substances. Employee Navigator reserves the right to delete any such material from the Employee Navigator Solutions. Posting content or participating in any form of discussion with the intention to commit any illegal activity is strictly prohibited. You agree not to impersonate any other person or entity, whether actual or fictitious, including impersonating any Authorized User or employee or consultant of Employee Navigator, its partners or affiliates. You further agree not to use an inappropriate member name, password, User ID or name of any kind.

D. Employee Navigator does not actively monitor Your Information but reserves at all times the right to review, modify, or delete any account or data as appropriate for (a) system maintenance, (b) termination or limitation of access due to violation of these Terms, Privacy Policy or Copyright & Legal Notices, or other agreement with Employee Navigator, (c) consistent with Employee Navigator’s documentation for the Employee Navigator Solutions and/or general data retention policies, (d) termination or suspension of the applicable subscription or other agreement with Employee Navigator, or (e) as otherwise required by law. For example, following the termination or cancellation of the applicable subscription to the Employee Navigator Solutions and/or relevant account, we reserve the right to delete applicable data, as determined by Employee Navigator, in the normal course of operation at such time as determined by Employee Navigator consistent with its data retention and deletion policies, and your data might not be recoverable after such deletion.

E. You acknowledge that we may also collect and provide certain aggregate, non-personal and non-confidential User information to Authorized Users, and that Employee Navigator may also use such information in its business unless otherwise prohibited by applicable law.

VI. Financial and Investment Decisions.

You alone will bear the sole responsibility of evaluating the risks and merits associated with any financial, insurance or investment decision. Please seek the advice of licensed and/or competent individuals before making any investment, insurance or financial decisions. Do not rely solely on financial, insurance or retirement information found in the Employee Navigator Solutions.

VII. Third Party Services and Sites.

A. The Employee Navigator Solutions may offer and include products and services of third-party vendors. Employee Navigator does not act as an agent or broker on behalf of third parties. Employee Navigator makes no representations on behalf of third parties, nor are we responsible for the content, statements, actions, or omissions of such third parties regardless of whether such content, statements, actions, omissions or data is included in Employee Navigator Solutions. Inclusion of a third-party product or service in the Employee Navigator Solutions is not an endorsement of that service. We encourage you to review the terms of service and other agreements of such third parties when visiting their sites or using their services. In order to provide you with these services, your personal information may be collected and supplied to such third parties. Please refer to the Employee Navigator Privacy Policy for further details about collection and use of personal information. We may, without notice, at any time change such third-party service provider(s). You agree in the event of any such change to allow the Employee Navigator Solutions and/or any such provider(s) to transfer your personal account information.

B. Employee Navigator may provide, or third parties may provide, links to other websites or resources from within the Employee Navigator Solutions. Because we have no control over such sites and resources, you acknowledge and agree that Employee Navigator is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Employee Navigator shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

C. You acknowledge that we may also provide certain aggregate, non-personal and non-confidential User information to third parties, including partners, affiliates, and advertisers.

D. Any dealings you have with advertisers, partners, affiliates, or other third parties, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties, or representations associated with such dealings or promotions, are solely between you and such third party. Employee Navigator shall not be responsible or liable for any part of any such dealings.

E. You acknowledge that these Terms are only between you and Employee Navigator LLC, and that Apple, Google or any other third party is a not a party hereto. Neither Apple nor Google is responsible for or has any obligation to provide the Employee Navigator Solutions or any associated maintenance or support. However, you acknowledge and agree that Apple and Google are third party beneficiaries of these Terms with the right to enforce these Terms against you in relation to your use of the Employee Navigator LLC mobile application. If your use of the Employee Navigator Solutions involves use of third party services (such as your wireless plan) you agree to comply with any applicable third party terms.

VIII. Notice Regarding Generic Information Within.

A. Many of the benefits and human resources-related forms, materials and other content presented in the Employee Navigator Solutions are accompanied by explanatory commentary that acquaints the User with the legal and practical issues pertaining to the subject area of such forms, materials, and content. Users are cautioned, however, that all the forms, commentary and content presented herein are for general reference only. Federal, state, or local laws or individual circumstances may require amendment of the forms to meet specific situations. Some government forms may be presented in altered size, font, or format and may not, therefore, meet federal or state requirements. All the forms, checklists and commentary are intended to be used only as guides and should not be adopted without the advice of competent legal counsel. You acknowledge that Employee Navigator cannot and does not provide you with legal advice.

B. The Employee Navigator Solutions are designed to provide accurate information with regard to the subject matter covered. The Employee Navigator Solutions are presented, however, with the understanding that we are not engaged in rendering legal, accounting, financial planning, insurance, investment, tax or other professional service. If legal advice or other expert assistance is required, the services of a competent professional should be sought.

C. Employee Navigator does not endorse and is not responsible for the accuracy or reliability of any opinion, advice or statement made on or through the Employee Navigator Solutions by any party. Other than as required by law, under no circumstance will Employee Navigator be liable for any loss or damage caused by a User’s use of or reliance upon information obtained on or through the Employee Navigator Solutions. It is the responsibility of the User to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content, product or service available on or through the Employee Navigator Solutions.

D. While every effort has been made to offer current, complete and accurate information, errors can occur. Furthermore, the Employee Navigator Solutions may contain references to certain laws and regulations. Laws and regulations will change over time and should be interpreted only in light of particular circumstances.

E. Finally, User specifically agrees that Employee Navigator is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another’s rights, including intellectual property rights. If you are dissatisfied with Employee Navigator, the Employee Navigator Solutions, or with any of Employee Navigator’s terms and conditions, your sole and exclusive remedy is to discontinue using the Employee Navigator Solutions.

IX. Minors and Child On-Line Privacy Protection Act.

The Employee Navigator Solutions do not direct content to children (as defined by the Children’s Online Privacy Protection Act (“COPPA”)), and we do not intend to collect personal information from children and therefore the Employee Navigator Solutions are not subject to COPPA. If you allow your child, or a child for whom you are legal guardian to access and use the Employee Navigator Solutions, you agree that you will be solely responsible for (i) the online conduct of such child; (ii) monitoring such child’s access to the Employee Navigator Solutions; and (iii) the consequences of any use.

X. Indemnification.

As a User, you shall indemnify, defend, and hold harmless Employee Navigator from and against any and all claims, liabilities, damages or demands (including reasonable legal fees) arising out of your breach of the foregoing representations, warranties or covenants or any other breach of these Terms, the Privacy Policy or Copyright and Legal Notices.

XI. Additional Terms for Use of AI Enabled Features.

Your use of Employee Navigator’s AI-enabled features such as without limitation its AI chatbots or AI Plan Build Tool (“AI Features”) and their output (“Output”, and together with the AI Features, “AI Materials”) is also subject to the following conditions of use. You agree to the following in connection with you and your Users use of the AI Materials:

A. The AI Materials are not a replacement for human judgment and review, which you must still provide and apply.

B. The AI Features may generate errors, including when interpreting or parsing data, and those errors may lead to incorrect or incomplete plan builds or other issues.

C. The AI Features may attempt to complete tasks by making assumptions (which may prove incorrect and generate inaccurate and unexpected results), especially when provided with incomplete or unclear inputs.

D. You are solely responsible for determining if the AI Features and/or their Output are appropriate for your intended use and any reliance thereon, taking into account, among other considerations, functionality, accuracy, and compliance with applicable laws, regulations and use restrictions.

E. Employee Navigator is not responsible for reviewing and verifying any Output prior to its use or any reliance thereon, including for accuracy and compliance with applicable laws, regulations and use restrictions.  You acknowledge and agree that when applicable for the AI Feature the applicable carrier contract is controlling, and you are responsible for validating the Output against such documentation.

F. The quality of the Output is dependent upon the quality and suitability of the documentation and other materials provided by Authorized Users to the AI Features, and each Authorized User, including you, agrees to follow the guidance and instructions provided by Employee Navigator.

G. You will not use the AI Materials in any manner that violates applicable laws or infringes, misappropriates or otherwise violates any person’s or entity’s intellectual property rights or other proprietary rights or your confidentiality obligations, and you will ensure that you have all necessary intellectual property rights and permissions and proprietary rights in any content or data that you upload or inputs to or use with the AI Features prior to any such upload, input or use.

H. Employee Navigator reserves the right to change, among other things, the underlying large language model or any other third party technology used by the AI Features at any time and that such changes may impact the Output and the fees charged.

XII. Disclaimers and Limitation of Remedies.

As a User, you understand and agree as follows:

A. THE EMPLOYEE NAVIGATOR SOLUTIONS ARE PROVIDED ON AN “AS IS” BASIS WITH NO IMPLIED WARRANTIES OF ANY KIND.

B. IN NO EVENT WILL THE LIABILITY OF EMPLOYEE NAVIGATOR OR ITS VENDORS, WHICH MAY INCLUDE, BUT ARE NOT LIMITED TO, AMAZON, MICROSOFT, APPLE, GOOGLE, ANTHROPIC AND OPENAI, INCLUDE ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, OR PUNITIVE DAMAGES, EVEN IF WE OR THEY HAVE KNOWLEDGE OF THE POTENTIAL LOSS OR DAMAGE.

C. COURT AWARDED DAMAGES IN FAVOR OF ANY INJURED AUTHORIZED USER SHALL NOT, IN ANY EVENT, EXCEED THE AMOUNT SUCH USER ACTUALLY PAID DURING THE TWELVE-MONTH PERIOD IMMEDIATELY PRIOR TO THE INJURY, AS USER FEES OR ROYALTIES IN ORDER TO ACCESS THE EMPLOYEE NAVIGATOR SOLUTIONS.

D. THE WARRANTIES IN THIS AGREEMENT REPLACE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EMPLOYEE NAVIGATOR DISCLAIMS AND EXCLUDES ALL OTHER WARRANTIES.

E. You acknowledge and agree that Employee Navigator has no liability with respect to any product or service you purchase, obtain or select through the Employee Navigator Solutions.

F. As between Employee Navigator on one hand and Apple and/or Google, as applicable, on the other hand, you will look to Employee Navigator for any product liability claims, warranty claims, regulatory non-conformance claims, consumer protection or privacy claims or intellectual property infringement claims, if such claims are available, relating to Employee Navigator’s mobile application, and if such application fails to conform to a warranty, you may notify Apple and/or Google, as applicable, for a refund of the purchase price of such mobile application, if any. There is no further warranty related to Employee Navigator’s mobile application from Apple, Google or any third party. Some states do not allow the exclusion of implied warranties, so the above exclusion may not apply to all Users. This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

G. You may direct questions or complaints about Employee Navigator LLC’s mobile application to Employee Navigator LLC at the address above or to support@employeenavigator.com.

H. Employee Navigator’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

XIII. Governing Law and Venue.

These Terms are governed by the laws and decisions of the State of Maryland without regard to its conflict of law provisions, You irrevocably consent to the exclusive jurisdiction of the federal and state courts serving the County of Montgomery in the State of Maryland, and you waive any objections as to personal jurisdiction or as to the laying of venue in such courts due to (i) inconvenient forum, or (ii) any other basis or any right to seek to transfer or change venue of any such action to another court. WE EACH WAIVE ANY RIGHT TO A JURY TRIAL (this means a judge will decide all issues of law and fact).

XIV. Entire Agreement & Future Amendment.

A. Employee Navigator may update this Agreement at any time, for any reason, with such update communicated on or through the Employee Navigator Solutions or via other manner of communication. Updates will be effective as stated in the communication. Continued use of the Employee Navigator Solutions after any update becomes effective shall indicate the Authorized User’s consent and agreement to the update.

B. Except as may be provided in any separate license, subscription agreement, royalty agreement, or fee per use agreement, or other agreement with Employee Navigator these posted Terms, together with the Copyright & Legal Notices, Privacy Policy and any additional terms that you accept in connection with your access to or use of the Employee Navigator Solutions, constitute the entire contract and agreement regarding Terms of Use for the Employee Navigator Solutions.

XV. Additional Terms.

Please note that certain services, products, promotions, or other offerings of Employee Navigator, its partners, affiliates, advertisers and others may be governed by additional or separate terms or policies. It is your responsibility to review and comply with those terms and conditions to the extent you use, purchase or participate in such services, products, promotions, or other offerings. In the event of any conflict between these Terms and any other terms, conditions, policies or agreements between you and Employee Navigator, such other term, condition, policy, or agreement will govern solely with respect to those separate products, services, promotions, other offers, as may be further explained in such terms, conditions, policies, or agreements.
